KPC Healing LLC: Product Seller Terms

Effective date: October 24, 2026

Last updated: October 25, 2026

These terms apply when you sign up to sell products on kpchealing.com (the "Site"), which is run by KPC Healing LLC ("KPC Healing," "we," "us"), a Utah limited liability company. By checking the box at signup, you agree to them.

1. You are an independent seller

You sell products as an independent seller. You are not a service provider and do not offer sessions through these terms. No contractor agreement or insurance is required to sell. Providers who list Digital Resources also agree to Sections 7 and 8 when they upload, in addition to their Provider Marketplace Terms.

2. Your products are your responsibility

You are solely responsible for your products, including:

  • Accurate listings, descriptions, photos, and prices
  • Product safety and legality, including labeling and any rules that apply to what you sell
  • Shipping and fulfillment
  • Your own return and refund policy and handling returns and refunds. You must post a return and refund policy for each product before it can be listed.
  • Any claims, complaints, or disputes about your products

For Digital Resources, the shipping and return-policy requirements above do not apply. Digital Resources follow the refund rules in Section 6 of the Terms of Service.

You agree to indemnify and hold harmless KPC Healing, its owner, members, and agents from claims, losses, and costs (including reasonable attorney fees) arising from your products or your listings.

3. No medical or health claims

Your products and listings may not claim to diagnose, treat, cure, or prevent any disease or medical condition. KPC Healing may remove any listing that breaks this rule.

4. Fees and payouts

  • Platform fee: KPC Healing keeps a platform fee of 2.9% plus $0.30 on each sale.
  • Processing fee: Stripe's card-processing fee is also deducted from your share.
  • Payouts: Your share is paid out through Stripe Connect. You complete Stripe Connect onboarding only when you are ready to receive payouts. Payouts are held until onboarding is complete.
  • Payout timing: KPC transfers your share to your Stripe account about 24 hours after payment, once your Stripe setup is complete and funds are available. Stripe then pays out on its standard schedule. Timing can vary because of Stripe, bank, or fraud reviews.
  • Refunds and chargebacks: If a payment is refunded, reversed, or charged back after your share was transferred, KPC may reverse the transfer or hold pending amounts, and you agree to repay any amount KPC can't recover that way.
  • Fee changes: KPC may change the platform fee with at least 30 days' notice by email and on the site. A new fee applies only to bookings and orders made on or after its effective date.
  • Tax information: Stripe collects your tax information during payout setup, and KPC may use it for required tax reporting.

5. Listing review

KPC Healing may review, approve, or remove any listing, and may suspend or close a seller account, at our discretion, including for breaking these terms.

6. General

  • Taxes: You are responsible for collecting and remitting any sales or other taxes that the law requires you to collect on your sales, and for your own income taxes.
  • Site terms: The KPC Healing Terms of Service and Privacy Policy also apply to your use of the Site.
  • Governing law: These terms are governed by Utah law.

7. Digital resources

When these Sections apply. These Sections, and the related digital resource terms in the Product Seller Terms (Sections 7 and 8) and the Provider Marketplace Terms (the Digital resources paragraph in Section 10 and the digital resources wording in Section 11), took effect on October 25, 2026 for accounts created on or after that date. For accounts created before October 25, 2026, they apply when you first upload, download, or otherwise use a Digital Resource, or on November 8, 2026, whichever comes first. Until then, the terms that applied to you before October 25, 2026 continue to apply. These changes do not affect any booking, product order, or payout made before October 25, 2026.

If you upload worksheets, guides, audio, video, courses, or other digital resources ("Digital Resources"), these rules apply in addition to the rest of these terms.

  • What you promise. For every Digital Resource you upload, you promise that:
    • You created it, or you own or have a license to all of it, including any music, sound, images, video, fonts, text, and other third-party material, and your rights let you sell it through the Site under the license in the Terms of Service
    • It does not infringe anyone's copyright, trademark, or other rights, and does not violate anyone's privacy or right of publicity
    • You have a signed release from every identifiable person who appears or is heard in it, and it contains no client information or client health information
    • Its title, description, preview, format, and length are accurate
    • It makes no medical, psychological, or curative claims, and it does not claim to diagnose, treat, cure, or prevent any disease or condition
    • Any video, or course with video, includes accurate captions. Audio-only resources should include a transcript where you can provide one.
  • License to KPC Healing. You keep ownership of your Digital Resources. You give KPC Healing a non-exclusive, worldwide, royalty-free license to host, store, copy, format, display, and deliver them to buyers. The license also covers creating previews and excerpts (such as thumbnails, sample pages, or short clips) and using your listing and previews to promote it and the marketplace. This license lasts while the resource is listed. It continues afterward only as needed to serve buyers who already got it, handle refunds and disputes, and keep required records.
  • Buyer license. Buyers get the license described in Section 6 of the Terms of Service. If your listing offers "professional use," buyers may use the resource with their own clients as that Section allows. You may grant buyers broader rights, but not narrower ones.
  • Review and removal. KPC Healing approves each Digital Resource and each new version before it goes live. We may reject, unpublish, or remove any resource at our discretion, including one that breaks these terms or the law.
  • Versions. Editing a resource creates a new version. Buyers keep the version they paid for. Don't use an update to remove what buyers paid for.
  • Pricing and fees. Digital Resources may be free or priced from $1 to $500. The platform fee and payout rules in Section 4 apply to paid sales, and the fee in effect at checkout is locked for that order. Free resources carry no fee. Payouts follow Section 4: about 24 hours after payment.
  • Refunds. KPC Healing's digital-resource refund rules in Section 6 of the Terms of Service apply instead of your own return policy. KPC Healing decides refund requests under those rules. Please respond within 3 business days if we ask you to fix a defective file. If a sale is refunded or charged back after your share was transferred, KPC may reverse the transfer or hold pending amounts, and you agree to repay any amount KPC can't recover that way.
  • Indemnity. The indemnity in Section 2 includes claims arising from your Digital Resources, including any claim that a resource infringes or violates someone's rights or breaks a promise in this Section.

8. Copyright and content complaints

  • How to report. Anyone who believes content on the Site infringes their copyright or other rights, or uses their image or private information without permission, may email kpchealing815@gmail.com. Please include:
    • Your name and contact information
    • A description of the work or right you say is being infringed
    • A link to, or a clear description of, the content on the Site
    • A statement that you believe in good faith the use is not authorized by the rights owner, its agent, or the law
    • A statement that the information in your notice is accurate and, under penalty of perjury, that you are the rights owner or authorized to act for them
    • Your physical or electronic signature
  • What we do. We may remove or disable the reported content while we review it. We will tell the Seller and share the notice with them.
  • Counter-notice. If you are the Seller and believe the content was removed by mistake or that you have the rights to it, you may send us a counter-notice with:
    • Your name, address, and phone number
    • A description of the removed content and where it appeared
    • A statement, under penalty of perjury, that you believe in good faith it was removed by mistake or misidentification
    • Your consent to the jurisdiction of the federal court for your address (or, if you are outside the United States, any district where KPC Healing may be found) and your agreement to accept service from the person who sent the notice
    • Your signature

We will forward the counter-notice to the person who complained. Unless they tell us within 10 business days that they have filed a court action, we may restore the content 10 to 14 business days after we receive the counter-notice. For complaints that are not about copyright, we decide in good faith based on the information both sides give us.

  • Payouts on disputed items. While a complaint about a resource is pending, KPC may hold your share of sales of that resource. If the complaint is upheld, held amounts may be used for buyer refunds, and your duty to repay under Section 7 applies.
  • Repeat infringers. We will close the seller accounts of repeat infringers in appropriate circumstances, and we may also close the account of anyone who uploads infringing content.
  • False reports. Knowingly false notices or counter-notices may carry legal liability.

9. Changes

We may update these terms. For material changes, we'll post the new version with its effective date and notify registered users by email or on the site at least 14 days before it takes effect, unless a change is required by law sooner. If you keep selling after a change takes effect, you accept the updated terms.
