KPC Healing LLC: Provider Marketplace Terms
Effective date: October 24, 2026
Last updated: October 25, 2026
These Provider Marketplace Terms (the "Agreement") are made on blank to fill in (date) between KPC Healing LLC, a Utah limited liability company at 3516 S 800 W, Bountiful, UT 84010 ("KPC Healing" or "KPC"), and blank to fill in (Provider's legal name), doing business as blank to fill in (business name, if any), at blank to fill in (address) ("Provider" or "you").
KPC Healing runs a marketplace at kpchealing.com that connects clients with wellness practitioners. Provider wants to offer their services through that marketplace. The parties agree as follows.
1. Independent business
Providers are independent businesses offering their own services through the KPC Healing marketplace. Providers are not employees, agents, or contractors of KPC Healing, and KPC does not direct or control how they deliver their services.
- Provider is not a partner or joint venturer of KPC Healing.
- Provider sets their own methods, techniques, schedule, and availability, and may offer services to others, including outside the marketplace.
- Provider is not entitled to wages, overtime, benefits, workers' compensation, or unemployment insurance from KPC Healing.
- Provider supplies their own tools, instruments, and supplies unless the parties agree otherwise in writing.
- Provider may not sign contracts or make promises on KPC Healing's behalf.
2. Scope of services
Provider offers their own wellness sessions through the KPC Healing marketplace, which may include sound baths, sound healing, energy healing, emotional release sessions, and retreat facilitation, as listed in Provider's profile ("Services"). Provider is solely responsible for the Services they deliver. No insurance, certificates, or other paperwork is needed to sign up. Provider completes Stripe Connect onboarding only to receive payouts (Section 3). Stripe collects your tax information during payout setup, and KPC may use it for required tax reporting. KPC Healing arranges bookings, hosts Provider's profile, handles client communications related to booking, and collects payment from clients.
3. Payment and payouts
- Stripe Connect. Clients pay KPC Healing through Stripe. Provider will complete Stripe Connect payout onboarding (identity and bank details) before receiving any payout. Payouts that come due before onboarding is complete are held until it is finished.
- Platform fee. KPC Healing keeps a platform fee of 2.9% of the transaction amount plus $0.30 on each session payment, deposit, no-show fee, and tip paid through the platform.
- Card-processing fee. Stripe's actual card-processing fee on each charge is also deducted from Provider's share.
- Provider's share. Provider receives the amount paid by the client minus the platform fee and the Stripe processing fee.
- Payout schedule. KPC transfers your share to your Stripe account about 24 hours after the session ends (or after payment, for products and tips), once your Stripe setup is complete and funds are available. Stripe then pays out on its standard schedule. Timing can vary because of Stripe, bank, or fraud reviews.
- Cancellations, no-shows, and refunds. Client cancellations, no-show fees, and refunds follow KPC Healing's Terms of Service: a full refund for cancellations more than 24 hours ahead, no refund within 24 hours, and a no-show fee of 50% of the service price. Refunded amounts are not paid out. If a payment is refunded, reversed, or charged back after your share was transferred, KPC may reverse the transfer or hold pending amounts, and you agree to repay any amount KPC can't recover that way.
- Session bundles. When a client buys a bundle, KPC Healing holds the payment. You are paid for each bundle session about 24 hours after it ends, including sessions the client cancels late (less than 24 hours before start) or misses. Sessions that are refunded to the client — unused at expiry or refunded on request — are not paid to you. Bundle pricing and contents are set by you as an independent seller.
- Fee changes. KPC may change the platform fee with at least 30 days' notice by email and on the site. A new fee applies only to bookings and orders made on or after its effective date.
- Provider will not ask clients booked through the platform to pay Provider directly for those sessions.
4. Taxes
Provider is responsible for all of their own income, self-employment, and other taxes, and for any business licenses required where they work. KPC Healing will not withhold taxes unless the law requires it, such as backup withholding when no taxpayer ID is provided. Stripe collects your tax information during payout setup, and KPC may use it for required tax reporting. KPC Healing, or Stripe on KPC Healing's behalf through Stripe Connect, may issue Provider a Form 1099 as required by law.
5. Provider representations
Provider represents and agrees that:
- The certifications, training, and experience listed in Provider's profile are true and current, and Provider will provide copies on request and report any change.
- Provider holds any license required for the Services they offer.
- Provider will not diagnose, treat, cure, or prescribe, and will make no medical, psychological, or health claims about the Services.
- Provider will not perform massage or massage therapy unless Provider holds a current Utah massage therapy license and KPC Healing has approved it in writing.
- Provider will follow all applicable laws.
6. Insurance (recommended)
KPC Healing recommends, but does not require, that Provider carry their own professional liability insurance covering the Services. A suggested amount is $1,000,000 per occurrence and $2,000,000 aggregate. Provider may also carry general liability insurance and any other coverage they choose.
If Provider does not carry insurance, Provider does so at their own risk. Provider is solely responsible for any claims arising from the Services they deliver, as set out in the indemnity in Section 11, whether or not Provider is insured.
Anyone KPC Healing employs as a W-2 employee is covered under KPC Healing's own business policy and does not need to carry their own.
7. Client waivers
Provider will make sure every client has signed KPC Healing's current Client Waiver and Informed Consent (or completed it at checkout) before any session begins, and will not deliver a session without it. A parent or guardian must sign for any minor and be present for the whole session.
8. Confidentiality and data protection
- Provider will keep all client information confidential, including names, contact details, intake answers, health and wellness information, and anything shared during sessions.
- Provider will use client information only to deliver the booked Services, will store it securely, and will not sell it, share it, or use it for Provider's own marketing without the client's consent.
- Provider will follow KPC Healing's Privacy Policy and will tell KPC Healing within 72 hours of learning of any loss or unauthorized access to client information.
- Provider will respect the platform's client privacy settings:
- Provider may never access or ask to see a client's wellness journal entries, which are private to the client.
- Provider may view a client's mood entries and goals only if the client has turned on that permission for Provider.
- Shared notes are visible to the client and Provider when the client allows notes, so Provider will write them with that in mind.
- Provider's private notes are visible only to Provider and must still be kept professional and confidential.
- Intake forms and client records built from Provider's templates are visible only to Provider and that client. Provider will not share them with other providers.
- KPC Healing administrators can manage record templates.
- Provider will not enter client health information into the Site's AI features or other AI tools.
- When this Agreement ends, Provider will return or securely delete KPC Healing client information except as the law requires Provider to keep it.
- KPC Healing's confidential business information, such as pricing, client lists, and plans, is also confidential.
9. Code of conduct
Provider will:
- Get clear consent before any touch. Touch is light, the client remains fully clothed, and the client may decline or stop at any time.
- Keep professional boundaries at all times, with no romantic, sexual, or exploitative conduct with clients and no dual relationships that could harm a client.
- Treat every client with respect, without discrimination or harassment.
- Stop or adjust a session when a client shows distress, and refer clients to licensed professionals when appropriate.
- Arrive on time, keep a clean and safe space, and not provide services while impaired.
- Report any client injury, complaint, or incident to KPC Healing within 24 hours.
10. Intellectual property and brand use
The KPC Healing name, logo, website, and materials belong to KPC Healing. Provider may use them only to promote Provider's sessions on the platform, following any brand guidelines KPC Healing provides, and must stop using them when this Agreement ends. Provider keeps ownership of their own methods, recordings, and content, and grants KPC Healing a non-exclusive, royalty-free license to display Provider's name, photo, bio, and profile content on the Site and in marketing while this Agreement lasts.
Digital resources. If Provider uploads worksheets, guides, audio, video, courses, or other digital resources for sale or free download, Sections 4, 7, and 8 of the KPC Healing Product Seller Terms also apply to those resources, including Provider's promises about rights, captions, and content, the license to KPC Healing, refunds, and the complaint process. Provider accepts them at upload. For digital resources, if those terms conflict with this Agreement, those terms control.
11. Indemnity
- By Provider: Provider will indemnify, defend, and hold harmless KPC Healing, its owner, members, and agents from claims, losses, and costs (including reasonable attorney fees) arising from the Services Provider delivers (whether or not Provider carries insurance), Provider's negligence or misconduct, Provider's digital resources (including any claim that they infringe or violate someone's rights), or Provider's breach of this Agreement.
- By KPC Healing: KPC Healing will indemnify, defend, and hold harmless Provider from claims, losses, and costs arising from KPC Healing's own negligence or misconduct, its operation of the marketplace, or its breach of this Agreement.
12. Term and termination
This Agreement starts on the date above and continues until ended. Either party may end it for any reason with 30 days' written notice. Either party may end it immediately if the other materially breaches it, including any breach of Sections 5, 7, 8, or 9. Upon termination, KPC Healing will pay Provider for completed sessions (less fees and refunds), and the parties will agree on how to handle any sessions already booked. Sections 4, 8, 10, 11, 13, and 14 survive termination.
13. Non-solicitation of clients
For 12 months after this Agreement ends, Provider will not directly solicit clients whom Provider first met through the KPC Healing platform to book sessions outside the platform. This does not stop clients from finding and contacting Provider on their own, or Provider from general advertising.
14. General terms
This Agreement is governed by Utah law, and any dispute will be resolved in the state or federal courts in Davis County, Utah. If any part is unenforceable, the rest remains in effect. This is the full agreement between the parties on this subject. Changes to this Agreement are made as described in Section 15. Provider may not assign this Agreement without KPC Healing's written consent. Notices go to the addresses above, or by email to kpchealing815@gmail.com for KPC Healing and to blank to fill in (email) for Provider.
15. Changes
We may update this agreement. For material changes, we'll post the new version with its effective date and notify registered users by email or on the site at least 14 days before it takes effect, unless a change is required by law sooner. Fee changes follow the 30-day notice in Section 3.
